THIS CONSTRUCTION AGREEMENT (“Agreement”) is entered into on October 15^("th "),201615^{\text {th }}, 2016 by and among: تم إبرام اتفاقية البناء هذه ("الاتفاقية") في أكتوبر 15^("th "),201615^{\text {th }}, 2016 من قبل:
(1) SHANFARI TRADING & CONTRACTING CO. L.L.C a limited liability company organized in the Sultanate of Oman and having its registered office at P.O. Box No.1099, Seeb, PC: 111, Muscat, Sultanate of Oman hereafter called “Main Contractor”; and (1) شركة شنفري للتجارة والمقاولات ذ.م.م شركة ذات مسؤولية محدودة منشأة في سلطنة عمان ويقع مكتبها المسجل في ص.ب رقم 1099، السيب، الرقم البريدي: 111، مسقط، سلطنة عمان وتسمى فيما يلي "المقاول الرئيسي"؛ و
(2) Sky Construction L.L.C. a limited liability company organized in the Sultanate of Oman and having its registered office at P.O. Box No. 1899, Postal Code. 112, Sultanate of Oman hereafter called “Sub contractor”. (2) سكاي للإنشاءات ذ.م.م. شركة ذات مسؤولية محدودة منشأة في سلطنة عمان ويقع مكتبها المسجل في ص.ب. رقم 1899 ، الرمز البريدي. 112 ، سلطنة عمان المشار إليها فيما يلي ب "المقاول من الباطن".
The Main contractor, and the Sub contractor are each referred to individually as a “Party” and, together, as the “Parties”. ويشار إلى كل من المتعاقد الرئيسي والمقاول من الباطن على حدة بوصفهما "الطرفين"، ويشار إليهما معا ب "الطرفين".

NOW, THEREFORE, the Parties hereto agree as follows: والآن، ولذلك، يتفق الطرفان على ما يلي:
1.1 Sub contractor's General Obligations 1.1 الالتزامات العامة للمقاول من الباطن
a) The sub contractor shall execute and complete the Works in accordance with the Contract and shall remedy any defects in the Works. أ) يقوم المقاول من الباطن بتنفيذ الأعمال وإكمالها وفقا للعقد ومعالجة أي عيوب في الأعمال.
b) The Completion of the Project within the Contract Time is of the essence and the sub contractor shall use its best effort to perform the Works in accordance with the Time Schedule. ب) الانتهاء من المشروع في غضون وقت العقد أمر جوهري ويجب على المقاول من الباطن بذل قصارى جهده لتنفيذ الأعمال وفقا للجدول الزمني.
c) The sub contractor shall provide the Materials, their personnel, Goods, consumables and other things and services, whether of a temporary or permanent nature, required in and for the execution and completion of Works and remedying of defects. ج) يجب على المقاول من الباطن توفير المواد وموظفيه وبضائعهم والمواد الاستهلاكية وغيرها من الأشياء والخدمات ، سواء كانت ذات طبيعة مؤقتة أو دائمة ، مطلوبة في وتنفيذ وإنجاز الأعمال ومعالجة العيوب.
d) The sub contractor shall execute any work which is implied by the Contract, and all works which (although not mentioned in the Contract) are necessary for stability or for the completion, or safe and proper operation, of the Works. د) يقوم المقاول من الباطن بتنفيذ أي عمل ينص عليه العقد، وجميع الأعمال التي (على الرغم من عدم ذكرها في العقد) ضرورية لاستقرار الأعمال أو لإكمالها أو تشغيلها بشكل آمن وسليم.
e) The sub contractor shall be responsible for the adequacy, stability, and safety of all Site operations, of all methods of construction and of all the Works. ه) يكون المقاول من الباطن مسؤولا عن كفاية واستقرار وسلامة جميع عمليات الموقع وجميع طرق البناء وجميع الأعمال.
f) The sub contractor has to obtain approval from the consultant for all materials prior to procurements. MAS should be submitted well in advance. و) يجب على المقاول من الباطن الحصول على موافقة من الاستشاري على جميع المواد قبل الشراء. يجب تقديم MAS في وقت مبكر.
g) It is responsibility of the sub contractor to submit test report of materials, arranging laboratory personals for sampling and testing as and when instructed by consultant. ز) تقع على عاتق المقاول من الباطن مسؤولية تقديم تقرير اختبار المواد، وترتيب موظفي المختبر لأخذ العينات والاختبار عند توجيه الاستشاري.
1.2 Permits 1.2 التصاريح
The main contractor shall obtain all building and construction permits, certificates of occupancy and approvals which are necessary for the construction, occupancy and use of the Project for the concerned authorities, including, without limitation, the Municipality. The main contractor shall maintain, throughout the Contract, any and all permits required by law. يجب على المقاول الرئيسي الحصول على جميع تراخيص البناء والتشييد وشهادات الإشغال والموافقات اللازمة لبناء المشروع وإشغاله واستخدامه للجهات المعنية بما في ذلك البلدية على سبيل المثال لا الحصر. يحتفظ المقاول الرئيسي طوال فترة العقد بأي وجميع التصاريح التي يتطلبها القانون.
1.3 Sub contractor's Representative 1.3 ممثل المقاول من الباطن
a. The Sub contractor shall appoint their representative and shall give him all authority necessary to act on the sub contractor’s behalf under the Contract. a. يعين المتعاقد من الباطن ممثله ويمنحه جميع الصلاحيات اللازمة للتصرف نيابة عن المقاول من الباطن بموجب العقد.
b. The sub contractor shall not, without the prior consent of the Consultant and main contractor, revoke the appointment of the sub contractor’s representative or appoint a replacement. b. لا يجوز للمتعاقد من الباطن، دون موافقة مسبقة من الاستشاري والمقاول الرئيسي، إلغاء تعيين ممثل المتعاقد من الباطن أو تعيين بديل له.
c. The whole time of the sub contractor’s representative shall be given to directing the sub contractor’s performance of the Contract. If the sub contractor’s representative is to be temporarily absent from the Site during the execution of the Works, a suitable replacement person shall be appointed, subject to the main contractor prior consent. ج- يخصص كل وقت ممثل المقاول من الباطن لتوجيه أداء المقاول من الباطن للعقد. إذا كان ممثل المقاول من الباطن سيغيب مؤقتا عن الموقع أثناء تنفيذ الأشغال، يتم تعيين شخص بديل مناسب، رهنا بموافقة المقاول الرئيسي المسبقة.
d. The sub contractor’s representative shall, on behalf of the sub contractor, receive instructions from the main contractor and the Consultant. د. يتلقى ممثل المقاول من الباطن، نيابة عن المقاول من الباطن، تعليمات من المقاول الرئيسي والاستشاري.
e. Supervisor/In charge/Foreman shall be deployed who shall monitor the activities /Scope of Works against the contract. 1.4.1 The Main Contractor has no responsibility about the manpower deployed by subcontractor to execute the work mentioned in this agreement. The main contractor is not responsible for the resident card, visa, medical, any insurance, safety, food, accommodation, salary, bonus, perquisites or any other expenses related to any employee engaged by sub-contractor to execute the job under this agreement. 1.4.1 لا يتحمل المقاول الرئيسي أي مسؤولية عن القوى العاملة التي يوفرها المقاول من الباطن لتنفيذ العمل المذكور في هذه الاتفاقية. المقاول الرئيسي غير مسؤول عن بطاقة الإقامة أو التأشيرة أو الطبية أو أي تأمين أو سلامة أو طعام أو سكن أو راتب أو مكافأة أو امتيازات أو أي نفقات أخرى تتعلق بأي موظف تم تعيينه من قبل مقاول من الباطن لتنفيذ الوظيفة بموجب هذه الاتفاقية.
1.4.2 Main contractor has no responsibility about any materials procured by the sub contractor before approval of MAS from the consultant. 1.4.2 لا يتحمل المقاول الرئيسي أي مسؤولية عن أي مواد يشتريها المقاول من الباطن قبل موافقة MAS من الاستشاري.
