Now we would like to highlight the most recent issue that has caused problems in our operations, i.e. delays in production. We have not faced this issue with all of our suppliers, and may not apply to you at all. However, we are approaching all of our suppliers regarding this issue to ensure that this problem causing us huge costs will not exist anymore in the future.

We want to highlight that over the past 12 months, we have noticed that many of our suppliers have not met the promised delivery times for our orders. Actually, most products have been completed more than 2 weeks later than originally confirmed by the supplier.

As a wholesaler, we have to commit ourselves to very strict delivery times with our retailers. Large retail chains plan and book their advertising campaigns up to months in advance and this causes big costs to them. Therefore, it is extremely important to keep the agreed delivery times.

If the goods are not completed within the timeframe agreed on the PI or Sales Confirmation, the order will not arrive in our warehouse on time and we will not be able to deliver the products to the retailers within the agreed timeframe. In this case, we will have to pay the retailer on average a compensation of 5 7 % 5 7 % 5-7%5-7 \% of the value of the agreed transaction.

This has not been a severe issue for us before when there have been fewer delays and they have been relatively rare. However, recently the situation has become unsustainable when the number of late deliveries has become high or even extremely high - as it has been the case over the past 12 months. The compensations to our retail partners are paid directly from our margin and the delays are severely harming our ability to operate profitably.

As a result of the above, we are obliged to introduce the following practices with regard to delays:

  1. When Suomi Trading places an order and the supplier confirms the order and delivery date, the supplier must define deadlines for all materials and tasks that fall under Suomi Trading’s responsibility, such as

If Suomi Trading does not deliver the agreed materials or fulfill agreed tasks within the agreed time, the supplier can delay the delivery of the goods by the same time as the delay caused by Suomi Trading. However, the delay caused by Suomi Trading does not give right to the supplier to delay the delivery by any more days than the actual delay caused by Suomi Trading.

If Suomi Trading has delivered all the necessary materials and fulfilled the agreed tasks on time, the supplier is fully responsible to keep the agreed delivery date. The supplier also is responsible for the delays caused by the supplier’s possible subcontractors.

2. In the event of the following external reasons, no delay penalty shall be charged, provided the delay is fully attributable to these reasons. However, any additional delay not directly caused by these reasons shall remain the responsibility of the supplier.

  • The following Force Majeure conditions: natural disasters, acts of war or civil unrest, government actions, pandemics or epidemics, labor strikes or industrial action, fires or explosions.

  1. In the event of a delay in delivery due to reasons attributable to the supplier or their raw material suppliers or other subcontractors, the supplier will compensate for the delay

    (a) by arranging and paying for faster transport (air or rail) to reach the original ETA for the consignment or a separately agreed part thereof; OR

  3. Other important clauses and definitions.

    a) Meaning of ETD is the date when the goods are ready and can be picked up from the factory by the forwarder.

    b) Supplier must book the shipment with forwarder preferably 5 weeks before ETD, but at latest 3 weeks before ETD. Failure to do so will cause supplier to be responsible for any delays caused by forwarder.

From now on, Suomi Trading will require our suppliers to agree to the terms and conditions for all purchase orders we place with them, and they confirm to us.

Please note that none of our purchase orders will be considered valid unless the supplier confirms that they understand the aforementioned terms and conditions and agree to comply with them.
