This service agreement (the “Agreement”) is made on 8^th Feb 2024 BETWEEN:

Appointment and Entire Agreement
预约及完整协议

The Company appoints Idwal as its nominated service provider and technical inspector and Idwal agrees to its appointment on the terms herein set out with effect from the date of this Agreement.

This Agreement is subject to and supplementary to the terms and conditions for the provision of consultancy services, which can be accessed at www.idwalmarine.com (the “Conditions”) and the words and expressions defined therein shall have the same meaning when used in this Agreement.

In the event of any conflict between the provisions of this Agreement and the Conditions, and unless expressly stated otherwise, the Conditions shall prevail.

Services and Provision

2.1 Idwal will provide the services to The Company as outlined in Appendix 1 of this Agreement (the “Services”) in connection with any marine vessels in which the Company has an interest in by way of security, which shall be specified in an Order

2.2 Idwal shall ensure that it is always adequately resourced to provide the Services in accordance with the Conditions.

2.3 The Company will provide an Order to Idwal to request any of the Services, as required from time to time.

Fees and Expenses

3.1 In consideration for the Services provided by Idwal, The Company shall pay Idwal the fees as specified in and in accordance with Appendix 2 and clauses 5.1, 5.2 and 5.3 of the Conditions shall not apply.

3.3. Idwal will not be expected to advance funds in respect of this Agreement for or on behalf of The Company. Funds in relation to expenditure to which The Company has agreed will be remitted to Idwal in a timely manner.

3.4 Idwal shall be entitled to charge The Company for any expenses reasonably incurred by the individuals whom Idwal engages in connection with the Services including, but not limited to, travelling expenses, hotel costs, subsistence and any associated expenses, and for the cost of services provided by third parties and required by the Idwal for the performance of the Services, and for the cost of any materials
3.4 Idwal 有权向该公司收取因 Idwal 雇佣的个人在提供服务过程中合理产生的任何费用，包括但不限于差旅费、住宿费、生活费以及任何相关费用，以及为履行服务所需由第三方提供的服务费用，以及任何材料费用。.

4. Termination

4.1 Notwithstanding the provisions of clause 10.3 of the Conditions, this Agreement may be terminated by Idwal or The Company upon [1] months’ prior written notice to the other party.

4.2  During the period between the date when notice of termination is deemed given hereunder and the effective date of termination, the rights, powers and duties of Idwal shall remain in full force and effect.

5. Other Business Interest

 Idwal and each of its respective shareholders, directors, employees, officers and affiliates may engage in other business, including the operation of assets similar to those of The Company simultaneously with their activities on behalf of The Company as set forth in this Agreement and may render services similar to those described in this Agreement for those individuals, companies, trusts or persons, and shall not by reason of engaging in such other businesses or rendering of services for others, be deemed to be acting in conflict with the interests of the Company

6. Governing Law and Jurisdiction

6.1 This Agreement shall be governed and construed in accordance with English law and any dispute arising out of or in connection with this Agreement shall be referred to arbitration in London in accordance with the Arbitration Act 1996 or any statutory modification or re-enactment thereof save to the extent necessary to give effect to the provisions of this Clause.
本协议受英国法律管辖和解释，因本协议产生的或与之有关的任何争议应提交伦敦仲裁，根据 1996 年仲裁法或任何对该法的修改或重新制定，但本条款规定的必要范围内除外。

6.2 The arbitration shall be conducted in accordance with the London Maritime Arbitrators Association (LMAA) Terms current at the time when the arbitration jusy seprocedures are commenced.
6.2 仲裁应按照在仲裁程序开始时有效的伦敦海事仲裁员协会（LMAA）条款进行。

6.3 The reference shall be to three arbitrators. A Party wishing to refer a dispute to arbitration shall appoint its own arbitrator and send notice of such appointment in writing to the other Party requiring the other Party to appoint its own arbitrator within 14 calendar days of that notice and stating that it will appoint its arbitrator as sole arbitrator unless the other party appoints its own arbitrator and gives notice that is has done so within the 14 days specified. In the event that each Party appoints its own arbitrator, the two arbitrators shall jointly appoint the third arbitrator. If the other Party does not appoint its own arbitrator and gives notice that it has done so within the 14 days, the Party referring a dispute to the arbitration may, without the requirement of any further prior notice to the other Party, appoint its arbitrator as sole arbitrator and shall advise the other Party accordingly. The award of a sole arbitrator shall be binding on both parties as if he had been appointed by agreement.
6.3 参考应涉及三名仲裁员。希望将争议提交仲裁的一方应指派自己的仲裁员，并以书面形式通知另一方该指派，要求另一方在收到通知后的 14 个日历日内指派自己的仲裁员，并声明如果另一方在指定的时间内未指派仲裁员，则将指派自己的仲裁员为独任仲裁员。如果各方均指派了自己的仲裁员，两位仲裁员应共同指派第三位仲裁员。如果另一方未指派自己的仲裁员并在 14 天内通知了此事，则提交争议进行仲裁的一方可以在不要求向另一方发出任何进一步预先通知的情况下，指派自己的仲裁员为独任仲裁员，并应相应地通知另一方。独任仲裁员的裁决对双方均有约束力，如同是通过协议指派的一样。

6.4 Nothing herein shall prevent the parties agreeing in writing to vary these provisions to provide for the appointment of a sole arbitrator.
6.4 本规定任何内容均不妨碍各方以书面形式同意变更这些条款，以提供指定一名独任仲裁员。

6.5 In cases where neither the claim nor any counter claims exceed the sum of USD 20,000 (or such other sum as the parties may agree) the arbitration shall be conducted in accordance with the LMAA Small Claims Procedure current at the time when arbitration proceedings are commenced.
6.5 在索赔金额或任何反索赔金额均不超过 20,000 美元（或双方可能同意的任何其他金额）的情况下，仲裁应按照在仲裁程序开始时有效的 LMAA 小额索赔程序进行。

Vessel Inspections

A physical vessel condition inspection and assessment of the identified asset(s) as required, including a detailed technical report, and photographic evidence on each asset

Inspection-scope shall be a full superficial condition assessment of the asset, including a full online-accessible delivery of the report, conclusions, Capex items, Photographs and supporting documentation, including a condition-based discount assessment which can be linked to the market valuation of the asset;

Data Storage

Maintenance of the full portfolio list is provided through an online platform; including inspection dates, special survey dates etc. with full and unencumbered access provided to The Company to access reports and other relevant data contained within the platform at any time.

THE FEES
费用

1. Inspection fees are quoted as “lump sum” including time for travel, survey, reporting and related out-of-pocket expenses. “Lumpsum”fees do not include any agency or launch hire charges if applicable.

2. In the event of an inspection taking place at an anchorage, launch boat fees will apply – the costs of which will be re-charged at cost, plus a 5% administration fee, or alternatively are to be arranged by vessel managers and included in the final vessel port disbursement account for settlement by Owners.
